1. Agreement to Terms

Rubiconetic provides automation strategy, consulting, development, and implementation services. The specific details, scope, deliverables, timelines, fees, payment terms, service levels, and intellectual property rights related to any client project (“Client Services”) will be detailed and governed by a separate, mutually executed written agreement (such as a Master Services Agreement and/or Statement of Work) between you (“Client”) and Rubiconetic. These Terms of Service do not govern the specifics of Client Services, which take precedence in case of any conflict.

4. Intellectual Property Rights

  • Site Content: The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as incident to normal web Browse.
  • Client Deliverables: Intellectual property rights concerning deliverables created as part of Client Services will be explicitly defined in the governing client agreement.

To the fullest extent permitted by applicable law, in no event shall Rubiconetic, its affiliates, directors, employees, or agents, be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Site, even if we have been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us for services during the six (6) month period prior to any cause of action arising (or as otherwise specified in a governing client agreement).

You agree to defend, indemnify, and hold harmless Rubiconetic, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Service or your use of the Site.

8. Governing Law and Dispute Resolution
